KOU Terms of Service

These Terms of Service (the "Terms") govern the consensus-building SaaS "KOU" (the "Service") and the rights and obligations between you and Shoya Suzuki ("we", "us", or "our").

Article 1 (Scope)

These Terms apply to all matters relating to use of the Service. By using the Service, you agree to these Terms.

Article 2 (Overview)

The Service is an online SaaS that supports consensus-building in meetings, workshops, executive sessions, and similar settings, providing text input, structured canvases, and AI features such as summarization, issue extraction, and alternative proposals. The Service also includes AI-agent-driven discussion facilitation, consensus-formation support, and the provision of reference information to assist with decision-making. All AI outputs are provided for reference only; final decisions rest solely with the user.

The Service provides reference information for decision-making. We are not responsible for your final decisions or their outcomes.

Article 3 (Accounts and authentication)

You must create an account and authenticate using our designated methods. You are responsible for safeguarding account credentials (email, password, etc.) and must not allow third parties to use your account.

Article 4 (Fees and payment)

Fees, billing units, and payment terms for paid plans follow our pricing table and what is shown at checkout.

Paid plans are generally prepaid and auto-renewing. Except as we specify otherwise, paid fees are non-refundable (see Article 10).

Article 5 (Subscription cancellation)

Cancellation and post-cancellation handling for paid subscriptions are as set forth in this article (unless otherwise agreed in writing).

  • Cancellation is completed through Stripe’s Billing Customer Portal (the customer-facing billing portal operated by Stripe, linked from within the Service).
  • If you cancel, you retain access to the paid-plan features until the end of the billing period for which you have already paid (cancellation takes effect after the paid period ends, i.e., cancel-at-period-end).
  • After that billing period ends, your entitlement will downgrade to non-paid tiers as processed by Stripe; you will not be charged further for that subscription cycle unless billing resumes accordingly.
  • We do not provide pro-rata or partial refunds for mid-period cancellation within a paid billing period (see Article 10).

Article 6 (Prohibited conduct)

You must not do any of the following when using the Service:

  • Crawl, scrape, or automatically collect the Service or related APIs, screens, or data
  • Reverse engineer, decompile, or disassemble the Service to analyze source code, structure, or algorithms
  • Use the Service for spam, indiscriminate solicitation, advertising, or harassment
  • Impose excessive load on our servers or networks
  • Infringe our or third parties’ intellectual property, privacy, or other rights or interests
  • Violate laws, regulations, or public order and morals, or act in a way likely to do so

Article 7 (AI features and external models)

The Service uses AI models provided by third parties such as OpenAI, Anthropic, Google, Groq, xAI, and others to provide features such as summarization, classification, and alternative proposals.

We may send your input text and metadata to external models for inference, subject to the following:

  • We transmit data to external AI models for inference to operate the Service. We do not intend to supply your data to providers for use as training data.
  • Where providers offer settings such as training opt-outs or data-retention controls, we use them to the extent reasonably practicable and endeavor to reduce the risk that customer data is used for model training. What we can do depends on each provider’s API capabilities, contractual terms, and dashboard settings, and we do not warrant every aspect in software.
  • We may retain limited request information for audit, troubleshooting, and misuse detection for a limited period using secure methods.

Because of the nature of AI outputs, completeness and accuracy are not guaranteed. You are responsible for verifying outputs and making your own judgments.

Article 8 (Intellectual property)

All intellectual property rights in the Service belong to us or our licensors. Use of the Service does not transfer any IP rights to you.

You retain all intellectual property rights in the text, data, and content you input into the Service ("User Content"). However, by using the Service, you grant us a worldwide, non-exclusive license to host, process, and display your User Content solely for the purpose of providing the Service to you.

Article 9 (Changes, suspension, and termination)

We may change, suspend, or discontinue the Service, in whole or in part, without prior notice. For material changes or discontinuation of paid plans, we will endeavor to provide reasonable advance notice.

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, particularly the prohibited conduct.

Article 10 (Refund policy)

Fees for the Service are generally non-refundable. Subscription fees (monthly, annual, etc.) are not refunded on a pro-rata basis for mid-term cancellation. Exceptions may apply for duplicate charges, clear system errors, or other cases we approve at our discretion.

Article 11 (Limitation of liability)

Except for willful misconduct or gross negligence, our liability for damages arising from the Service is limited to ordinary, direct, and actual damages, capped at the total monthly fees you paid us in the month the damage occurred. For users on a free plan, we assume no liability for any damages except in cases of our willful misconduct or gross negligence. We are not liable for any indirect damages, lost profits, special damages, or loss of business opportunity except in cases of our willful misconduct or gross negligence.

Article 12 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. Any dispute arising from or relating to the Service shall be subject to the exclusive jurisdiction of the court of first instance located in the jurisdiction of our principal office.

Article 13 (Disclaimer of warranties)

The Service is provided "AS IS." We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and any other implied warranties. We do not warrant that the Service will be uninterrupted or error-free.

Article 14 (Force majeure)

We are not liable for any failure or delay in the Service caused by circumstances beyond our reasonable control, including natural disasters, earthquakes, power outages, telecommunications failures, failures of third-party services (such as cloud infrastructure, payment processors, or AI models), acts of war, riots, or changes in laws or regulations.

Article 15 (Changes to these Terms)

When we update these Terms, we will notify you of the changes and the effective date in advance via the Service or to your registered email address. For material changes, we will endeavor to provide sufficient advance notice before the effective date where reasonably practicable.

If you continue to use the Service after such notice, you will be deemed to have accepted the updated Terms.

Article 16 (Data upon cancellation)

If you cancel your account, we will retain your data only as long as reasonably necessary for legal obligations, audits, misuse prevention, and technical backups, and will then delete or anonymize it, typically within approximately 90 days. To request a copy of your data, contact us at hello@kouai.app. Data we must retain under applicable law may continue to exist for a period after processing.

Article 17 (Severability)

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions.

Article 18 (No waiver)

Our failure or delay in exercising any right under these Terms will not be construed as a waiver of that right.
